qzenchat Terms of Service

Effective date: October 28, 2026
Contracting entity: QUANTERON LLC
Website: https://www.qzenchat.com
Legal contact: legal@qzenchat.com

1. Agreement and eligibility

These Terms of Service ("Terms") govern access to and use of qzenchat by business customers and their authorized users. "Quanteron," "we," "us," and "our" mean QUANTERON LLC. "You" means the business accepting these Terms and, where relevant, its authorized users.

By affirmatively accepting these Terms during registration, executing an order referencing them, or otherwise entering a binding agreement that incorporates them, you agree to these Terms. If you act for a business, you represent that you have authority to bind it.

You must be at least 18 years old, legally capable of entering this agreement, and authorized to access each connected business account. qzenchat is offered for business use, initially for the Bangladesh market. Availability elsewhere does not constitute a promise that every local requirement has been assessed or that all features are supported there.

People who merely message a merchant do not become paying qzenchat customers under these Terms. Their purchase, delivery, refund, and appointment arrangements are with that merchant, subject to applicable law.

2. Service and document order

qzenchat provides tools for connected business messaging, shared customer support, AI-assisted workflows, catalog and order operations, appointments, knowledge retrieval, and logistics coordination, depending on enabled features.

We do not act as the merchant, courier, social network, bank, or payment processor for your customer transactions. Unless separately agreed, we do not take title to goods, collect customer payments on your behalf, guarantee delivery, or provide professional legal, medical, financial, or other regulated advice.

If documents conflict, the following order applies to the relevant subject:

  1. A separately signed agreement or order expressly overriding these Terms.
  2. An applicable data processing agreement for personal-data processing matters.
  3. These Terms and any plan-specific terms expressly accepted with your order.

The Privacy Policy describes our information practices. It does not create consent where the law requires a separate choice. The Data Deletion Policy describes deletion requests and handling.

Only features actually made available are included. Roadmaps, examples, demonstrations, and planned integrations are not contractual delivery commitments.

3. Accounts, workspaces, and access

You must provide accurate account and business information, maintain a working contact address, protect credentials, and promptly notify support@qzenchat.com of suspected unauthorized use.

Workspace administrators are responsible for inviting appropriate staff, assigning access, removing departed users, and obtaining any necessary internal authorization. Do not share individual credentials or use another person's identity.

You are responsible for activity you authorize in your workspace and for reasonable security of your users and connected systems. This does not excuse our responsibility for our own security obligations.

We may require proportionate account or business verification to prevent abuse, recover access, connect a provider, or authorize a sensitive action. Do not submit passwords, live access tokens, or unnecessary identity documents through ordinary support messages.

You may connect only accounts and assets you own or are authorized to administer. You must not connect another business's Page, number, calendar, or customer data without permission.

You are responsible for:

  • Your products, services, prices, stock, descriptions, taxes, customer contracts, returns, warranties, deliveries, and appointment policies.
  • The accuracy and lawfulness of content, documents, customer records, and business instructions you provide.
  • Providing an accessible merchant privacy notice and required AI, messaging, cookie, and recording disclosures.
  • Establishing the lawful basis and obtaining required notices, consents, permissions, and opt-ins before importing data, contacting people, connecting accounts, or using automation.
  • Honoring unsubscribe, blocking, withdrawal, and privacy requests, including requests received outside the messaging platform.
  • Keeping appropriate records of consent and authority and supplying them when reasonably needed to investigate a compliance issue.
  • Ensuring staff and contractors use the service within their authorization.
  • Applying appropriate review and human escalation for customer-facing automation.

You may not shift your legal responsibilities to qzenchat merely by using a platform feature. We remain responsible for our own obligations under applicable law and our agreement.

5. Acceptable use

You must not use qzenchat to:

  1. Break applicable law, infringe intellectual-property or privacy rights, commit fraud, impersonate another person or business, or misrepresent affiliations.
  2. Send spam, unsolicited bulk communications, deceptive promotions, phishing messages, or communications without legally and contractually required permission.
  3. Facilitate violence, exploitation, child sexual abuse, trafficking, non-consensual intimate imagery, or other unlawful or seriously harmful activity.
  4. Harass, threaten, unlawfully discriminate, or conduct unauthorized surveillance or sensitive profiling.
  5. Distribute malware, steal credentials, bypass access controls, interfere with another workspace, or overload the service or its providers.
  6. Scrape, resell, broker, or misuse personal information or provider data, or buy or sell social accounts, followers, or engagement.
  7. Evade provider permissions, template rules, messaging windows, geographic or age restrictions, safety settings, rate limits, or enforcement.
  8. Upload material you lack rights to process or ask an integration to access an unauthorized system.
  9. Use the service for clinical decision-making, diagnosis, medical advice, credit eligibility, employment selection, or similarly high-impact automated decisions without a separately approved lawful arrangement; a provider prohibition cannot be waived by us.
  10. Collect passwords, payment-card security codes, full financial-account credentials, government identity numbers, or highly sensitive regulated records through ordinary chats or knowledge uploads.
  11. Circumvent usage metering, copy or resell the service without authorization, or reverse engineer it except to the extent a restriction is prohibited by law.
  12. Probe or disrupt qzenchat or upstream infrastructure without written authorization. Good-faith security reports may be sent to support@qzenchat.com; these Terms are not authorization for intrusive testing.

These restrictions are intended to support applicable cloud, messaging, AI, and other provider acceptable-use requirements. They are not an exhaustive restatement of those requirements.

6. Meta and WhatsApp requirements

When using Meta-connected features, you must comply with the applicable Meta Platform Terms, Developer Policies, and relevant Facebook, Instagram, Messenger, and WhatsApp requirements.

For WhatsApp in particular:

  • Obtain the recipient's number or username and the required opt-in before subsequent business contact.
  • Keep your business profile and support contact information accurate.
  • Use approved message templates to initiate conversations and where otherwise required.
  • Respect the applicable customer-service window; outside it, use approved templates as required by WhatsApp's current rules.
  • Provide prompt, clear escalation from automation to an appropriate human-support route.
  • Honor opt-outs and do not mislead or surprise recipients.
  • Follow the current WhatsApp Business Messaging Policy and applicable commerce restrictions; do not assume a product is permitted merely because it can be entered in a catalog.

qzenchat does not grant platform approval, ownership of a social account, or an exemption from provider rules. We do not guarantee message delivery, template approval, account verification, or uninterrupted platform access.

You must not sell Meta Platform Data, use it for unrelated profiling or surveillance, retain it without a permitted purpose, or transfer it contrary to the applicable terms. Required deletion and platform compliance obligations survive disconnection and termination.

7. Google, calendars, and other third-party services

A connection authorizes only the disclosed feature and permissions. You remain responsible for choosing appropriate calendars, account access, and sharing settings.

Calendar synchronization can be delayed, fail, or encounter conflicting changes. Review important bookings and retain a reasonable manual process. Exported service labels and event details may be visible to others with access to the destination calendar.

Google API user data is subject to the Google API Services User Data Policy, including Limited Use. Neither these Terms nor a general content license authorizes advertising use, prohibited human access, or generalized-model training with Google Workspace API data.

Couriers, payment services, messaging platforms, calendar services, and other third parties operate under their own applicable terms. We may suspend a connection that would violate those terms, is no longer authorized, or presents a material security or compliance risk. We will provide reasonable notice where lawful and practicable.

Third-party availability, fees, and permissions can change. We do not silently migrate an established messaging account to a different provider merely to bypass an outage or restriction; a provider migration requires appropriate authorization and connection handling.

8. AI and automation

AI-generated responses and recommendations are probabilistic and may be incorrect, incomplete, biased, or unsuitable. You are responsible for reviewing your business instructions, catalogs, policies, automation settings, and consequential outputs before relying on them.

Do not represent automated assistance as a human where that would be deceptive or unlawful. Provide appropriate disclosure and a usable human-support path.

You authorize necessary processing by the approved AI and embedding providers for features you enable, subject to our Privacy Policy and applicable data processing terms. Chat-model selection does not necessarily select the embedding provider. A disclosed, approved fallback may be used if the chosen model is unavailable.

You do not grant us permission to train shared or general-purpose models on private workspace content. We do not authorize our providers to use it for their own general-model training. Provider-specific retention and permitted security processing are governed by the approved arrangements, not by an assumption of zero retention.

Do not direct AI experiences to children or use a provider in ways prohibited by its age, regional, safety, or professional-use rules. In particular, account eligibility alone does not establish that a public customer-facing AI experience satisfies an AI provider's age restrictions.

We do not guarantee that AI output is unique, copyrightable, accurate, or free of third-party rights. As between you and us, you may use output to the extent permitted by law and applicable provider terms, without receiving rights we do not possess.

9. Customer content and intellectual property

You retain rights in your customer data, business content, trademarks, and uploaded materials. You grant us a limited, non-exclusive license to host, copy, transmit, format, index, and otherwise process that material only as needed to provide, secure, support, and lawfully administer the service under our agreement.

This license does not permit sale of personal information, unrelated advertising, general-model training, or use contrary to Meta, Google, or other applicable data restrictions. Use of service providers remains subject to those limits.

You represent that you have the necessary rights and authority for your content and instructions. Do not upload materials subject to confidentiality, licensing, or privacy restrictions inconsistent with the requested processing.

We retain rights in qzenchat's software, service design, documentation, branding, and pre-existing technology. Subject to these Terms, we grant authorized users a limited, non-exclusive, non-transferable right to access the service for your internal business activities.

You may voluntarily provide feedback. We may use non-confidential suggestions without an obligation to pay you, but feedback is not permission to disclose customer information or use your name or logo in publicity.

10. Privacy, confidentiality, and data processing

Each party must protect the other's non-public business information using reasonable care and use it only for the agreement's purposes, unless disclosure is authorized or legally required.

Confidentiality does not apply to information independently developed without use of confidential information, lawfully obtained without a confidentiality restriction, or made public without breach.

Where we process personal information for you, the applicable data processing agreement must address instructions, confidentiality, security, subprocessors, international transfers, assistance with rights requests, incident notification, and deletion or return. A public privacy policy alone is not a substitute for a required data processing agreement.

We may access workspace information only where authorized and reasonably needed for service delivery, support, security, compliance, or another permitted purpose, subject to stricter provider-specific access restrictions.

Neither party may rely on these Terms to avoid a mandatory privacy obligation, restrict a person's non-waivable rights, or delay platform-required deletion.

11. Beta and trial services

Features identified as beta, preview, or trial may change, be limited, or be withdrawn. Unless separately agreed, they do not include a contractual uptime or support-response guarantee.

We will identify applicable limits and any charges before you accept them. Participation in a free beta does not by itself authorize later billing or conversion to a paid subscription.

You should evaluate suitability, review outputs, and maintain necessary independent business records. Beta status does not waive our privacy, confidentiality, security, or mandatory legal duties.

12. Fees, renewals, cancellation, and refunds

This section applies only when you accept a paid order or checkout that specifies charges. It does not state that billing is already available.

The applicable order must identify pricing, currency, included allowances, billing period, renewal terms, and any separately charged usage or provider fees. Taxes are additional unless expressly included.

We charge only fees you have authorized. Recurring billing requires disclosure and acceptance of the renewal terms. We will not convert a free beta into a paid plan without your agreement.

Unless the accepted order says otherwise, a paid subscription renews for the same billing period until canceled before renewal. Cancel through an available billing control or email support@qzenchat.com from an authorized account. If a control is unavailable or fails, timely receipt of a clear cancellation email is sufficient; a support delay will not create an additional renewal obligation.

Cancellation ordinarily takes effect at the end of the paid period. Paid fees are non-refundable except where required by law, expressly stated in an accepted order, charged in error, or covered by the service-termination provision below. Authorized usage already incurred remains payable.

Raise billing disputes promptly with supporting details. We will investigate good-faith disputes and correct confirmed billing errors. We will give reasonable notice and an opportunity to resolve undisputed overdue charges before payment-related suspension.

Price changes apply prospectively, not to an already paid period, with at least 30 days' notice before the affected renewal where practicable and any longer notice required by law. You may cancel before the new price applies.

13. Availability, support, and changes

We use reasonable efforts to operate and maintain the service, but do not promise uninterrupted operation, error-free performance, permanent availability of a provider, or any sales or revenue result.

Support is available at support@qzenchat.com. A specific response time, uptime percentage, service credit, or support schedule applies only if expressly agreed in writing.

We may change features to improve the service, address security or legal requirements, or respond to provider changes. For a material reduction to a paid service, we will provide reasonable advance notice where practicable and an appropriate cancellation or other contractual remedy.

14. Suspension and termination

You may stop using the service and request account or workspace closure through support. Subscription cancellation and data deletion are separate actions unless you expressly request both.

We may restrict access or terminate the agreement for material breach, unlawful activity, serious security risk, provider requirements, or non-payment of undisputed amounts. Where lawful and safe, we will explain the issue and provide a reasonable chance to remedy it. Immediate action may be necessary to protect people, data, systems, or platform access.

If we discontinue a paid service for convenience before the end of a prepaid period, we will refund the unused prepaid portion unless an accepted agreement provides a more favorable remedy. Termination for your material breach does not create a refund entitlement beyond mandatory law or the accepted agreement.

On termination:

  • Access and licenses end, subject to any agreed transition access.
  • Outstanding authorized charges remain payable.
  • Required platform access revocation and deletion must occur promptly.
  • You may request a lawful export before deletion; we will explain available scope and delivery methods without promising an unimplemented self-service export.
  • We handle remaining data under the Privacy Policy, Data Deletion Policy, applicable processing agreement, and mandatory legal and provider requirements.

An export or transition period does not justify retaining Meta Platform Data after a mandatory deletion event. Provisions intended to survive, including confidentiality, accrued payment obligations, intellectual-property rights, liability limitations, and dispute terms, survive to the extent applicable.

15. Warranties and disclaimers

Each party represents that it has authority to enter this agreement.

Except for express commitments in an applicable signed agreement and to the extent permitted by law, the service and AI output are provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

These disclaimers do not exclude an express contractual duty or a warranty, remedy, or responsibility that applicable law does not allow us to exclude.

16. Limitation of liability

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, business opportunity, or goodwill arising from the agreement.

Except for the exclusions below and any different cap in a signed agreement, each party's total aggregate liability arising from the agreement is limited to the greater of:

  1. Fees paid or payable by you to qzenchat for the service during the 12 months before the event giving rise to the claim; or
  2. US $100.

The cap does not limit your obligation to pay authorized fees. Neither the cap nor the excluded-damages provision limits liability for fraud, willful misconduct, a party's infringement or misappropriation of the other's intellectual property, or liability that cannot lawfully be limited. They do not restrict an individual's statutory privacy rights or a regulator's powers.

The scope and enforceability of these limitations depend on applicable law.

17. Third-party claims

If a third-party claim arises from your unlawful content, infringement of that third party's rights, or your material misuse of the service, you will be responsible to the extent the claim is attributable to your actions and applicable law permits. This does not make you responsible for our own breach, negligence, or misconduct.

The parties will promptly notify each other of relevant claims, reasonably cooperate, and not settle a claim in a way that admits fault or imposes obligations on the other without its consent. A broader duty to defend or indemnify applies only if expressly agreed in a signed agreement.

18. Governing law and disputes

Unless a signed agreement states otherwise, these Terms are governed by the laws of the State of New Mexico, United States, excluding its conflict-of-laws rules. Courts of competent jurisdiction in Bernalillo County, New Mexico, are the agreed forum for contractual disputes, subject to mandatory law and any non-waivable right to bring a claim elsewhere.

Before filing a claim, the parties should attempt good-faith resolution by contacting legal@qzenchat.com and allowing 30 days for discussion, unless urgent relief or a legal deadline makes that impracticable.

Nothing here excludes mandatory Bangladesh protections or other applicable local laws, prevents reporting to a regulator, or requires arbitration or waiver of a right that cannot lawfully be waived.

19. General terms and changes

Neither party is responsible for a delay caused by events beyond its reasonable control, excluding ordinary payment obligations. The affected party must take reasonable steps to mitigate disruption. This does not excuse mandatory privacy or incident-response duties.

You may not assign the agreement without our consent, not to be unreasonably withheld. We may assign it as part of a lawful reorganization or business transfer, subject to applicable privacy, consent, and provider restrictions.

If a provision is unenforceable, the remainder continues to the extent lawful. Failure to enforce a provision is not a waiver. The agreement does not create an agency, employment, joint venture, or partnership.

We will give reasonable notice of material changes to these Terms, ordinarily at least 30 days before they apply. Urgent legal, security, or provider-driven changes may take effect sooner with notice as practicable. Changes do not apply retroactively to an accrued dispute. Where affirmative acceptance is required, we will obtain it.
